These Terms of Service ("Terms") govern your use of Themis, an AI-powered trading psychology coach (the "Service") operated by Maytrix ("we", "us", "our"), a company registered in Germany.

By creating an account or using the Service, you agree to these Terms.

1. Service Description

Themis is an AI-powered tool that analyzes screen recordings of your trading sessions to provide behavioral insights and psychology coaching.

Important: Themis provides analysis, not financial advice. We are not financial advisors, investment advisors, or trading coaches. The AI-generated insights are for educational and self-improvement purposes only. All trading decisions are yours alone.

2. Beta Service

The Service is currently in beta. This means:

• Features may change, break, or be removed without notice
• Bugs and errors may occur
• Service availability is not guaranteed
• Your feedback helps us improve

By using the beta, you accept these conditions.

3. Eligibility

To use the Service, you must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law

4. Account Registration

You must provide accurate information when creating an account. You are responsible for:

• Maintaining the security of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

5. Subscription Plans

Tiers

Billing

• All paid plans are billed monthly in advance
• Payments are processed securely via Stripe
• Prices are in Euros (€) and include applicable VAT

Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial months

Refunds

Refunds are available only if you have not exceeded the Free tier limits (3 sessions per week, 1 saved video). If you have exceeded these limits, no refund is available.

Price Changes

We may change our pricing with 30 days notice. Price changes apply to billing periods starting after the notice period.

6. Acceptable Use

You agree not to:

• Share your account credentials with others
• Access accounts belonging to others
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to access the Service (bots, scrapers, etc.)
• Attempt to bypass security measures or access restrictions
• Use the Service for any illegal purpose
• Upload content that infringes intellectual property rights
• Upload malicious code or attempt to harm the Service
• Resell or redistribute the Service without authorization
• Interfere with other users' access to the Service

7. Content Ownership

Your Content

You retain ownership of all content you upload or create, including:

• Trading session recordings
• Pre-trade and post-trade notes
• Playbooks and trading rules
• Session notes and reflections
• AI-generated analysis and reports

You grant us a limited license to process your content solely to provide the Service.

Anonymized Data

We may use anonymized and aggregated data (which cannot identify you) to improve the Service, conduct research, and develop new features.

Our Content

The Service, including its design, features, code, and documentation, is owned by Maytrix and protected by intellectual property laws.

8. AI Analysis Disclaimer

The AI can make mistakes. The analysis provided by Themis:

• Is generated by artificial intelligence, not human experts
• May contain errors, inaccuracies, or misinterpretations
• Should not be relied upon as the sole basis for trading decisions
• Does not constitute financial, investment, or trading advice
• Is provided "as is" without any guarantees of accuracy

You are solely responsible for your trading decisions. Past analysis does not predict future results.

9. Service Availability

We do not guarantee:

• Continuous or uninterrupted access to the Service
• That the Service will be error-free
• Any specific level of uptime or availability

We may modify, suspend, or discontinue any feature of the Service at any time without notice or liability.

10. Account Termination

By You

You may delete your account at any time through the Service or by contacting us. Upon deletion, all your data is immediately and permanently removed.

By Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse the Service or other users
• Provide false information
• Fail to pay applicable fees

We may also terminate accounts for any reason with 30 days notice.

11. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for any:

• Trading losses or financial damages
• Decisions made based on AI analysis
• Indirect, incidental, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Service interruptions or data loss

Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose, or €100, whichever is greater.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise).

Some jurisdictions do not allow certain liability exclusions. In those cases, our liability is limited to the minimum extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Maytrix, its officers, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your trading activities

13. Dispute Resolution

Informal Resolution

Before filing any formal legal claim, you agree to contact us at toma@maytrix.ai and attempt to resolve the dispute informally for at least 30 days.

Governing Law

These Terms are governed by the laws of Germany, without regard to conflict of law principles.

Jurisdiction

Any disputes not resolved informally shall be submitted to the courts of Germany. If you are a consumer residing in the EU, you may also bring proceedings in your country of residence.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or by posting a notice on the Service at least 30 days before they take effect.

Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

15. General

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Maytrix.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms. We may assign them to a successor in interest.
